Electronic Delivery Consent

Farm Credit Mid-America, FLCA and Farm Credit Mid-America, PCA (individually or collectively, “Farm Credit Mid-America”) offers you the convenience of electronic delivery (eDelivery) for account-related information that may otherwise be sent in paper form through the U.S. mail or by a shipping provider.

Farm Credit Mid-America is required by law to provide you with certain disclosures and information about your transactions with us and with respect to your relationship with our cooperative. Such documents and information could include election materials, payment information, interest rate disclosures, loan documents, annual and quarterly reports, bylaws, stock-related disclosures, notices of publication, borrower rights communications, and other communications from time to time. With your consent, Farm Credit Mid-America can deliver documents to you by displaying the documents electronically, and requesting that you sign, print and/or download the documents and retain them for your records.

In order to access your documents electronically, you must review and accept this consent form.

This notice contains important information that you are entitled to receive before you consent to electronic delivery of documents. Your consent also permits the general use of electronic records and electronic signatures in connection with your transaction. Please read this notice carefully and print or download a copy for your files. After you have read this information, if you agree to receive documents from Farm Credit Mid-America electronically, and if you agree to the general use of electronic records and electronic signatures in connection with your relationship with Farm Credit Mid-America, please click the I Agree button where indicated.

eDisclosure Consent for Use of Electronic Signatures and Records - Statement of Electronic Disclosures:

You have the right to receive records associated with your loan in a non-electronic form (for example, on paper), and may request to receive documents on paper, but if you do not consent to electronic delivery Farm Credit Mid-America cannot proceed in the timeliest manner with processing your transaction. If you consent to electronic delivery of documents, you have the right to withdraw that consent at any time.

If you consent to electronic disclosures, that consent applies to all documents Farm Credit Mid-America gives to you or receives from you in connection with your transaction and the associated notices, disclosures, and other documents.

If a Promissory Note is signed by you electronically, you agree that:

  1. the Promissory Note is an electronic contract executed by you using your electronic signature,
  2. your electronic signature signifies your intent to enter into the Promissory Note and that the Promissory Note be legally valid and enforceable in accordance with its terms to the same extent as if you had executed the Promissory Note using a written signature,
  3. the authoritative copy of the Promissory Note (“Authoritative Copy”) shall be that electronic copy that resides in a document management system designated as such by Farm Credit Mid-America for the storage of authoritative copies of electronic records, which shall be deemed held by Farm Credit Mid-America in the ordinary course of business, and
  4. that the Promissory Note will be an effective, enforceable and valid “Transferable Record” (as defined below) and may be created, authenticated, stored, transmitted and transferred in a manner consistent with and permitted by the Transferable Records section of the Uniform Electronic Transactions Act, as enacted in the jurisdiction governing the electronic Promissory Note.

If Farm Credit Mid-America transfers the Promissory Note, Farm Credit Mid-America will designate in the aforementioned document management system the identity of the subsequent holder of the Promissory Note. That subsequent holder of the Promissory Note will designate in the document management system designated by that holder for the storage of the authoritative copy of each electronic record where the authoritative copy of the Promissory Note then resides. If that subsequent holder of the Promissory Note transfers the Promissory Note, that and each subsequent holder of the Promissory Note will follow the same process as described above. Notwithstanding the foregoing, if the Authoritative Copy is converted by printing a paper copy which is marked by Farm Credit Mid-America, or a subsequent holder of this Promissory Note as the original (the “Paper Note”), Borrower acknowledges and agrees that (1) your signing of the Promissory Note with your electronic signature also constitutes issuance and delivery of such Paper Note, (2) your electronic signature associated with the Promissory Note, when affixed to the Paper Note, constitutes Borrower’s legally valid and binding signature on the Paper Note and (3) subsequent to such conversion to paper, your obligations will be evidenced by the Paper Note alone. As used above, “Transferable Record” means an electronic record that: (a) would be a note under Article 3 of the Uniform Commercial Code if the electronic record were in writing and (b) Borrower, as the issuer, has agreed is a Transferable Record.”

Your consent to eDelivery remains in effect until you withdraw it or until your transaction is completed. You have the right to deny your consent or withdraw your consent at any time.

If you wish to withdraw your consent to the use of electronic records and electronic signatures, you may do so electronically or by contacting Farm Credit Mid-America via the methods listed above. After consenting to receive and deliver documents electronically, you may, upon request, obtain a paper copy of the documents by contacting Farm Credit Mid-America via the methods listed above.

Your consent does not mean that Farm Credit Mid-America must provide the documents electronically. Farm Credit Mid-America, at its option, may deliver documents or otherwise communicate with you on paper. Farm Credit Mid-America may also require that certain communications from you be delivered to Farm Credit Mid-America on paper at a specified address. You acknowledge that electronic communications entail risks (including the risk of interception by a third party) and hereby release Farm Credit Mid-America from all liability relating to the electronic provision or transmission of such communications.
